CONFIDENTIALITY AGREEMENT BETWEEN CHANCEXPRESSION LDA. AND THE EXTERNAL PROVIDER

This is an agreement between Chancexpression, Lda. (Chancexpression), with headquarters at Rua das Oliveiras, Lote 66, Bairro Alto das Arroteias, 1685- 026 Caneças, Portugal, and the External Provider (translator, interpreter, etc.), and will apply from the date the first translation job is accepted by the External Provider, until such time as the working relationship between both parties is terminated.

In order to ensure that the External Provider or its agents (in the case of a company, for example) is able to complete the job entrusted by Chancexpression, information that is considered confidential might be provided, whose disclosure, whether public or private, could cause serious damage. In order to prevent such a situation, both parties hereby undertake to enter into this non-disclosure agreement, governed by the following clauses and conditions:

1. The External Provider shall maintain total confidentiality regarding information received from Chancexpression, and undertakes to refrain from its disclosure, either in whole or in part, to third parties, and not to use it for purposes other than the provision of services to Chancexpression.
2. The information will be kept confidential, even after completion of the job.
3. The External Provider undertakes to return any confidential information, in full, to Chancexpression after completion of the job.
4. The External Provider will consider all information relating to the interests of Chancexpression and its clients to be confidential.
5. Chancexpression may take the necessary legal action to protect its rights and those of its clients, should the External Provider fail to comply with the above points.
6. The External Provider will be held responsible for any damages and losses arising from breach of confidentiality, and for any penalty imposed in the shape of compensation for damages and losses.
7. If a client of Chancexpression requires translation or interpreting services and, for whatever reason, contacts an External Provider who has in the past provided such services through Chancexpression, the External Provider is obliged to inform Chancexpression. Under any circumstances shall the External Provider enter into a direct contract with the client.

 

The parties are subject to Portuguese legislation in the event of any disputes arising between them, expressly waiving their right of recourse to any other jurisdiction, hereby submit to the jurisdiction of the Courts of Lisbon.
